Name and Purpose:

We are committed to empowering women by equipping them with valuable skills and knowledge, including mental health awareness, strategies for leaving abusive situations, parenting guidance, and more. Through our programs and initiatives, we aim to foster personal and professional development, enabling women to lead fulfilling lives and make positive contributions to their communities. Together, we rise."

  •        Unity SheRize welcomes women of all backgrounds, ages, and experiences who are seeking a supportive community to empower their personal and professional growth. Whether you're a young woman navigating the challenges of adolescence or an older woman seeking to enhance your skills and confidence, Unity SheRize is here for you. Our doors are open to women who are committed to learning, growing, and supporting one another as we rise together.

  • Leadership Structure:

  • President:

The President serves as the primary leader of Unity SheRize, responsible for overseeing the organization's overall direction, strategy, and operations.

Responsibilities include presiding over meetings, providing guidance to other leaders and members, representing the organization to external stakeholders, and ensuring that Unity SheRize fulfills its mission and goals.




 

Vice President:

 

The Vice President supports the President in their duties and assumes leadership responsibilities in their absence.

Responsibilities may include assisting with organizational planning, coordinating activities and initiatives, and liaising with other leaders and members to ensure effective communication and collaboration.

 

Secretary:

 

The Secretary is responsible for maintaining accurate records of meetings, correspondence, and other important documents for Unity SheRize.

Responsibilities include recording meeting minutes, managing organizational documents, handling communication with members, and assisting with administrative tasks as needed.

 

Treasurer:

 

The Treasurer oversees the financial affairs of Unity SheRize, including budgeting, fundraising, and financial reporting.

Responsibilities may include managing bank accounts, tracking income and expenses, preparing financial statements, and ensuring compliance with financial regulations and policies.

 

Committee Chairs:

 

Unity SheRize may have various committees focused on specific areas of interest or initiatives. Each committee may have a designated chairperson responsible for leading the committee's activities and coordinating with other leaders and members.

Meeting Frequency and Procedures:

 

Meetings of Unity SheRize shall be held on a monthly basis, unless otherwise determined by the executive board or as specified in the organization's bylaws.

 

The President or designated leader shall be responsible for calling and scheduling meetings, ensuring that members are notified at least one week in advance of the meeting date, time, and agenda.

Meetings may be conducted in person, virtually, or through teleconferencing, depending on the preferences and logistical considerations of the members.

 

Quorum and Voting Procedures:

 

Quorum refers to the minimum number of members required to be present at a meeting to conduct official business and make decisions.

 

The quorum requirement for Unity SheRize meetings shall be at least 4 members.

Once quorum is established, decisions shall be made through voting by the members present at the meeting.

Each member shall be entitled to one vote on matters brought before the meeting.

 

Voting may be conducted orally, by a show of hands, or through written ballots, depending on the preference of the members and the nature of the decision.

 

In the event of a tie vote, the President or designated leader may cast a deciding vote to break the tie.

 

All voting outcomes and decisions made during meetings shall be recorded in the meeting minutes for documentation and transparency.

Finances:

Financial Management Guidelines:

 

Budgeting: Unity SheRize shall develop an annual budget outlining projected income and expenses for the fiscal year. The budget shall be approved by the executive board and reviewed periodically to ensure financial stability and alignment with organizational goals.

 

Fundraising: Unity SheRize may engage in various fundraising activities to generate revenue for its programs and initiatives. Fundraising efforts may include events, sponsorships, grants, donations, and other fundraising campaigns. All fundraising activities shall be conducted in accordance with applicable laws and ethical standards.

 

Financial Reporting: Unity SheRize shall maintain accurate and up-to-date financial records, including income, expenses, assets, and liabilities. Financial reports shall be prepared regularly and presented to the executive board and general membership for review and approval. Financial transparency and accountability shall be prioritized in all financial reporting activities.

 

Handling of Funds Procedures:

Opening a Bank Account: Unity SheRize shall open a bank account in the organization's name to manage its funds. The Treasurer, in collaboration with the President or designated leader, shall be responsible for selecting a suitable financial institution and opening the bank account. The bank account shall require the signatures of at least two authorized signatories, such as the President and Treasurer, for financial transactions.

 

Financial Transactions: All financial transactions, including deposits, withdrawals, payments, and transfers, shall require proper documentation and approval. The Treasurer, or individuals authorized by the executive board, shall be responsible for initiating and approving financial transactions. For significant transactions or expenditures exceeding a predetermined threshold, additional approval from the executive board may be required.

 

Recordkeeping: Unity SheRize shall maintain detailed records of all financial transactions, including receipts, invoices, bank statements, and other financial documents. Records shall be organized, secure, and readily accessible for audit and review purposes.

 

Internal Controls: Unity SheRize shall implement internal controls to safeguard its assets and prevent financial mismanagement or fraud. Internal controls may include segregation of duties, dual authorization for financial transactions, regular reconciliation of accounts, and periodic audits conducted by independent third parties.

By adhering to these guidelines and procedures, Unity SheRize can effectively manage its finances, ensure financial transparency and accountability, and support the organization's mission and goals.

Amendments:

Proposing Amendments:

Any member of Unity SheRize may propose amendments to the organization's bylaws by submitting a written proposal to the executive board.

The proposal shall include the specific changes to be made to the bylaws and a rationale for the proposed amendments.

The executive board shall review the proposed amendments and determine whether they warrant further consideration.

 

Notification and Discussion:

Once the executive board approves the proposed amendments for consideration, members shall be notified of the proposed changes and provided with an opportunity to review and discuss them.

Discussion of the proposed amendments may occur at regular meetings of She Rize or through dedicated discussion sessions organized for this purpose.

 

Voting on Amendments:

After a period of discussion, the proposed amendments shall be brought to a vote by the members of Unity SheRize.

The voting process may occur at a designated meeting or through electronic means, depending on the preferences of the members and the organization's bylaws.

Each member shall be entitled to one vote on each proposed amendment.

The proposed amendments shall be approved if they receive a two-thirds majority vote of the members present and voting.

 

Documentation and Implementation:

Following the vote, the results of the vote shall be recorded in the meeting minutes, along with the specific amendments approved.

The amended bylaws shall be updated accordingly and distributed to all members of Unity SheRize.

The amended bylaws shall take effect immediately upon approval, unless otherwise specified in the bylaws or by the members during the voting process.

 

Review and Revision:

Unity SheRize shall periodically review and revise its bylaws as needed to ensure they remain relevant and effective in guiding the organization's activities.

The process for amending the bylaws outlined above shall be followed for any future proposed amendments.

 

Decision to Dissolve:

  • The decision to dissolve Unity SheRize may be initiated by the executive board or by a vote of the members during a general meeting.

  • A proposal to dissolve the organization shall be presented to the members, outlining the reasons for dissolution and the proposed process for winding down the organization's affairs.

  •  

  • The proposal to dissolve Unity SheRize shall require approval by a two-thirds majority vote of the members present and voting.

  • Notification and Public Announcement:

  • Following the decision to dissolve Unity SheRize, members, stakeholders, and relevant authorities shall be notified of the decision.

  • A public announcement shall be made to inform the community of Unity SheRize's dissolution and to provide instructions for any necessary actions or inquiries.

  • Settlement of Debts and Obligations:

  • Unity SheRize shall settle all outstanding debts, liabilities, and obligations to creditors, vendors, and other parties.

  • The Treasurer, in collaboration with the executive board, shall oversee the settlement of debts and ensure that all financial obligations are satisfied.

  • Disposition of Assets:

  • If Unity SheRize possesses assets, including funds, property, equipment, or intellectual property, procedures for the disposition of these assets shall be outlined.

  • Assets may be sold, transferred, or donated to other charitable organizations or causes aligned with Unity SheRize's mission, as determined by the executive board or as specified in the organization's bylaws.

  • The distribution of assets shall be conducted in accordance with applicable laws and regulations governing nonprofit organizations and charitable entities.

  • Legal Dissolution Procedures:

  • Unity SheRize shall follow all legal requirements and procedures for dissolution as specified by the jurisdiction in which the organization is registered.

  • This may include filing dissolution paperwork with relevant government authorities, notifying tax authorities of the organization's dissolution, and fulfilling any other legal obligations.

  • Final Report and Closure:

  • Upon completion of the dissolution process,

  • Unity SheRize shall prepare a final report documenting the dissolution proceedings, including the settlement of debts, disposition of assets, and compliance with legal requirements.

  • The organization shall officially close its operations and cease all activities, including the termination of any contracts, leases, or agreements.

Conflict of Interest:

To ensure that our organization operates with fairness and impartiality, we have established clear policies to address conflicts of interest among our members and leaders. These policies outline procedures for identifying, disclosing, and managing conflicts of interest in a manner that prioritizes the best interests of Unity SheRize and the communities we serve. By adhering to these policies, we maintain the trust and confidence of our stakeholders while advancing our mission of empowering women to learn, grow, and achieve together.
